These Terms and Conditions ("Terms") govern your access to and use of purimventures.com (the "Site") and any services, programs, communications, or content made available by Purim Ventures ("Purim," "we," "us," or "our"). Please read them carefully.

Our Privacy Policy is incorporated into and forms part of these Terms.

By accessing or using the Site, submitting a form, scheduling a call, opting in to text messages, or otherwise engaging with our services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

The Site and our services are intended for individuals who are at least 18 years of age and are accessing the Site for legitimate business purposes. By using the Site, you represent that you meet these requirements.

The content on the Site is provided for general informational purposes only. Nothing on the Site constitutes, or should be relied upon as, investment advice, financial advice, legal advice, tax advice, accounting advice, or a recommendation to buy, sell, or hold any security or to pursue any particular business strategy.

References to past engagements, case studies, portfolio companies, transactions, or outcomes are illustrative and are not a guarantee, promise, or prediction of future results. Individual results vary based on factors outside our control.

Use of the Site does not create an advisory, consulting, fiduciary, or client relationship between you and Purim Ventures. A client relationship is formed only upon execution of a written agreement signed by both parties. In the event of any conflict between these Terms and a signed client agreement, the signed client agreement controls with respect to the services described in it.

The Site may allow you to request or schedule consultations, strategy sessions, or program interviews. Submitting a scheduling request does not guarantee availability or acceptance. We reserve the right to reschedule, decline, or cancel any meeting request at our discretion. Information you provide when scheduling is used to prepare for and conduct the meeting and to follow up afterward.

Participation in the Capital Mastermind program is subject to application, acceptance, and a separate written program agreement setting out fees, deliverables, schedule, and terms. Information about the program on the Site is descriptive only and does not constitute an offer, guarantee of acceptance, or guarantee of any funding, capital, investor introduction, or business outcome.

Program description. Purim Ventures operates a conversational text messaging program for prospects and clients. Messages include appointment confirmations, meeting reminders, scheduling and rescheduling notices, pre-meeting preparation details, and post-meeting follow-up related to your inquiry or engagement.

Consent. By providing your mobile phone number and checking the consent box on our web forms, or by otherwise expressly agreeing to receive text messages, you consent to receive SMS messages from Purim Ventures at that number, including messages delivered by automated technology. Consent is not a condition of purchase or of receiving any service from us.

Message frequency. Message frequency varies based on your activity and scheduled meetings.

Cost. Message and data rates may apply. These charges are set by your mobile carrier and are your responsibility.

Opt out. You may cancel at any time by replying STOP to any message. You will receive a single confirmation message and will not receive further messages unless you opt in again.

Help. Reply HELP for assistance, email contact@purimventures.com, or call the number listed below.

Carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.

Supported carriers. Message delivery is supported on major U.S. wireless carriers. Carrier participation may change without notice.

Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and providers of the Text Message services. You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation
• Submit false, misleading, or fraudulent information, or impersonate any person or entity
• Submit a mobile phone number you are not authorized to enroll
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems
• Introduce viruses, malware, or other harmful code
• Use automated systems to scrape, harvest, or collect data from the Site
• Interfere with or disrupt the operation of the Site or its security features
• Use Site content for competitive analysis or to build a competing offering

All content on the Site — including text, graphics, logos, images, frameworks, methodologies, case studies, and software — is the property of Purim Ventures or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may view and download content for your personal, non-commercial reference. You may not reproduce, republish, distribute, modify, create derivative works from, or commercially exploit any Site content without our prior written permission.

"Purim Ventures," the Purim Ventures logo, and program names including "Capital Mastermind" are marks of Purim Ventures. Third-party marks appearing on the Site are the property of their respective owners.

Information you submit through Site forms or in unsolicited communications is not treated as confidential unless it is provided under a signed confidentiality or client agreement. Please do not send sensitive, proprietary, or confidential business information through the Site before an appropriate agreement is in place.

Any ideas, suggestions, or feedback you provide about the Site or our services may be used by us without restriction or compensation to you.

The Site may link to or integrate third-party websites, tools, and services. We do not control and are not responsible for their content, availability, security, terms, or privacy practices. Your use of third-party services is governed by their own terms.

The Site and all content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

To the maximum extent permitted by law, Purim Ventures and its officers, directors, members, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or relating to your use of the Site — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred dollars ($100.00) or the amount you paid us for access to the Site, whichever is greater. This limitation does not apply to services provided under a signed client agreement, which are governed by the liability terms of that agreement.

You agree to indemnify, defend, and hold harmless Purim Ventures and its officers, directors, members, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

We may modify these Terms at any time. Changes are effective when posted to this page, and the Effective Date above will be updated. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Purim Ventures regarding your use of the Site, and supersede any prior understandings on that subject. They do not supersede any signed client or program agreement.
